Welcome to Leen Marketing LTD ("Leen Marketing", "we", "us"). By accessing or using our website and services, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use our site or services.
1) Definitions
- Client: the person or entity purchasing services from Leen Marketing.
- Services: SEO, Email (Lifecycle) and Analytics services, and related consulting or deliverables.
- Agreement: these Terms together with any proposal, statement of work (SOW), or order form.
2) Scope of services
We will provide the Services described in your accepted proposal/SOW. Any changes to scope, timelines, or assumptions may require a written change order and could impact fees and schedules.
3) Proposals, fees & payments
- Fees and payment terms are stated in your proposal/SOW or invoice.
- Unless otherwise stated, fees are exclusive of applicable taxes.
- Late payments may incur interest and/or pause of Services until payment is received.
- Upfront deposits or retainers may be required to begin work.
4) Client responsibilities
- Provide timely access to personnel, systems, and information necessary for delivery (e.g., GA4/GTM, CMS, CRM, ESP).
- Appoint a single point of contact for feedback and approvals.
- Review and approve deliverables within reasonable timeframes.
- Ensure any Client-supplied materials do not infringe third-party rights and comply with applicable laws.
5) Intellectual property
- Pre‑existing IP of each party remains with that party.
- Upon full payment, Client owns the specific deliverables identified in the proposal/SOW (e.g., reports, copy, templates), excluding our tools, know‑how, methods, and reusable components, which we may use for other clients.
- We may reference Client’s brand name and results as portfolio/marketing material unless you notify us in writing not to.
6) Confidentiality
Each party agrees to keep the other party’s non‑public information confidential and use it only for purposes of performing the Agreement, except as required by law.
7) Data protection
We process personal data in accordance with applicable data protection laws (including UK GDPR). Where we act as a processor on your behalf, we will enter into a Data Processing Addendum (DPA) on request setting out the subject matter, duration, nature, and purpose of processing; the types of personal data; and the obligations of both parties.
8) Warranties & disclaimers
- We warrant that we will provide the Services with reasonable skill and care.
- Except as expressly stated, the Services are provided "as is" without warranties of any kind. We do not guarantee specific rankings, deliverability rates, traffic, revenue, or other outcomes.
9) Liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
- To the extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages, nor for loss of profits, revenue, data, or goodwill.
- Subject to the above, each party’s total aggregate liability arising out of or in connection with the Agreement shall not exceed the total fees paid or payable by Client for the Services giving rise to the claim in the 12 months preceding the event giving rise to the claim.
10) Term & termination
- Either party may terminate for material breach if the breach is not remedied within 14 days of written notice.
- Either party may terminate for convenience on 30 days’ written notice for month‑to‑month engagements, unless otherwise specified.
- Upon termination, Client will pay for Services rendered up to the effective date of termination.
11) Changes
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the site or Services after changes take effect constitutes acceptance of the updated Terms.
12) Governing law & jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that either party may seek injunctive relief in any jurisdiction.
